Student Match Network's Terms of Use



Student Match Network works to assist students in their search of an online university to attend. This page contains the Terms and Conditions under which You, the user, may utilize the Student Match Network Web site (the "Web site"). If you do not agree to the Terms and Conditions stated herein you should not utilize the Web site. By utilizing the Web site, you agree to abide by the Terms and Conditions stated herein as well as the Web site Privacy Policy which is incorporated herein. The terms "You" and "User" as used herein refer to all individuals and/or entities accessing this Web site for any reason.

How It Works


  1. Education Specialists work with prospective students to match them with an online university that best fits their needs
  2. The Education Specialist then invites the student to apply online to their school of choice.
  3. The selected school will interview the student and at the end of the interview will offer qualified applicants the ability to enroll.
  4. Education Specialists are required by Student Match Network to refer a minimum of ten people per month and maintain a minimum of ten percent enrollment rate of their referrals.
  5. The Education Specialist will receive payment based on the percentage of enrollments acquired during a pay period (one month).

Use of Material


Upon your agreement to utilize Student Match Network's services, You are authorized to download a single copy of the Material (the "Material") from Student Match Network's Web site solely for your own personal, noncommercial use.

The content of the Web site, such as text, graphics, images, logos, button icons and software is protected under United States and foreign copyright, trademark and other laws. All Web site content and Material are the property of Student Match Network or its content suppliers or clients. The compilation (i.e. the collection, arrangement and assembly) of all content and HTML code created by Student Match Network on the Web site is the exclusive property of Student Match Network and protected by U.S. and international copyright laws. Unauthorized use of the Web site content or Material may constitute a violation of copyright, trademark or other laws.

You must retain all copyright, trademarks, service mark and other proprietary notices contained in the original Material and on any copy (permitted or not permitted) You make of any of Student Match Network's Material. You may not sell or modify Student Match Network's Material or reproduce, display, distribute or otherwise use Student Match Network's Material in any way or for any purpose not authorized by Student Match Network. The use of Student Match Network's Material on any other Web site or in a networked computer environment for any purpose is prohibited.

Student Match Network reserves the right to terminate the accounts of Users who violate Student Match Network's policy on infringement of copyright, trademark or other intellectual property rights of Student Match Network or others.

Student Match Network and all of its affiliated companies respect the intellectual property of others and we ask our Users and content partners to do the same. The unauthorized reproduction, copying, distribution, modification or public display of copyrighted works constitutes infringement of the copyright owner's rights. As a condition of use of the Web site, You agree not to use the Web site to infringe the intellectual property rights of Student Match Network or others in any way. Student Match Network will assist the respective owners of the various intellectual properties in order that they may protect their rights to the fullest extent of both domestic and international law. Student Match Network reserves the right to take these actions at any time, in our sole discretion, with or without notice and without any liability to any User.

Student Match Network reserves the right to alter the ad postings into the form of emails to send to potential qualified candidates in our database. Such alterations will not affect any material information with regard to the position advertised.

User Content and Submissions


You are solely responsible for your User account information. You agree that in submitting User content, or otherwise using any Student Match Network site, You will not impersonate anyone or submit any Materials that are false, inaccurate, misleading, unlawful or otherwise in violation of your obligations under these terms.

By posting content in the Student Match Network, You automatically grant to Student Match Network and its affiliates an irrevocable, royalty-free, perpetual, fully paid non-exclusive right and worldwide license to use, copy, reproduce, modify, adapt, publish, translate, communicate to the public, display and distribute such content, in whole or in part, and to prepare derivative works of, or incorporate into other works (in any form) such User content, and to grant and authorize sublicenses thereof through multiple tiers at Student Match Network's discretion. By posting content You also represent and warrant that You have the right to grant such rights or that the holder of any rights has completely and effectively waived all such rights and validly and irrevocably granted to You the right to grant the license stated above.

Student Match Network acts as a passive conduit for the online distribution and publication of User content and has no obligation to screen User content, communications or information in advance and is not responsible for screening or monitoring User content posted by Users. However, Student Match Network may review and remove any content that, in its sole judgment, violates these Terms and Conditions, applicable laws or violates the rights of or harms/threatens the safety of any Student Match Network Users.

By registering with Student Match Network, you consent to receiving emails from Student Match Network and its affiliates related to products and services offered by Student Match Network, its affiliates and advertisers.

Revenue Payments

When an Education Specialist refers a student to an online university that Student Match Network represents, they do so by having the prospective student fill out an application that is linked to the Education Specialists account. The Education Specialists receives payment depending on the percentage of referrals that enroll in an online university represented by Student Match Network. Student Match Network will then distribute payments to Education Specialists on the 15th of each month for the previous payment period. Example: revenue earned during June 2008 will be paid by a check mailed no later than July 15, 2008.

Education Specialists agree that any revenue they receive from Student Match Network may be considered earned income by the U.S. Treasury Department and may therefore be subject to applicable taxes and it is the Education Specialist's responsibility to pay any such applicable taxes owed as a result of such income.

Student Match Network reserves the right to change the amount of, or basis for, determining any cash payments to Education Specialists and to institute a new payment structure without any prior notice. Any disputes regarding Education Specialist revenue payments must be resolved within 30 days from the original payment. Dispute resolution will be handled on a case-by-case basis between the Education Specialist and the manager assigned to that Education Specialist.

Acceptable Site Use

Individuals seeking to find out more information or utilize various services offered on the Web site may use the Web site for lawful purposes only.


Prohibited Uses of the Web Site

General Rules


Users may not use or reference Student Match Network's Web site in order to transmit, distribute, store or destroy Web site content or Material: (a) in violation of any applicable law or regulation; (b) in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights of others; (c) in a way that will violate the privacy, publicity or other personal rights of others; or, (c) that is defamatory, obscene, threatening, abusive or hateful.


Web Site's Security Rules

Users are prohibited from violating or attempting to violate the security of the Web site, including, without limitation: (a) accessing data not intended for such User or logging into a server or account which the User is not authorized to access; (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (c) attempting to interfere with service to any User, host or network, including, without limitation, via means of submitting a virus to the Web site, overloading, "flooding," "spamming," "mailbombing" or "crashing"; (d) sending unsolicited e-mail, including promotions and/or advertising of products or services; or (e) forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting. Violations of system or network security may result in civil or criminal liability. Student Match Network will investigate occurrences that may involve such violations and will cooperate with law enforcement authorities in prosecuting Users who are involved in such violations.

To help ensure a safe and effective experience for all our customers, Student Match Network may limit the amount of data that may be accessed by You in any given time period. These limitations may be amended from time to time at Student Match Network's sole discretion.

The Student Match Network Web site and database may be used only for lawful purposes by individuals seeking employment and career information, and by employers seeking employees. Student Match Network specifically prohibits any other use of studentmatchnetwork.com, including:

  • Posting content on any Student Match Network site that contains hyperlinks, "hidden" keywords or keywords that are irrelevant or misleading.
  • Using Student Match Network for any purpose other than is intended, including but not limited to, using the information to sell or promote any products or services.
  • Posting or submitting to StudentMatchNetwork.com any incomplete, false or inaccurate biographical information or information that is not your own.
  • Sending unsolicited mail or e-mail, making unsolicited phone calls or sending unsolicited faxes regarding sales promotions and/or advertising of products and services to a User.
  • Deleting or revising any Material posted by another person or entity.
  • Using any device, software or routine to interfere or attempt to interfere with the proper working of the Web site or any activity being conducted on the Web site.
  • Taking any action that imposes an unreasonable or disproportionately large load on the Web site's infrastructure.
  • Using or attempting to use any engine, software, tool, agent or other device or mechanism (including, without limitation, browsers, spiders, robots, avatars and intelligent agents) to navigate or search the Web site other than the search engine and search agents available from Student Match Network on the Web site, as well as generally available third-party Web browsers, such as Netscape Navigator and Microsoft Explorer.
  • Attempting to decipher, decompile, disassemble or reverse-engineer any of the software comprising or in any way making up a part of the Web site.
  • Aggregating, copying or duplicating in any manner any of the Web site content, Materials or information available from the Web site.
  • Framing of or linking to any of the Web site content, Materials or information available from the Web site unless authorized to do so.
  • Providing false information to Student Match Network of any kind.

Student Match Network reserves the right to terminate the accounts of Users found to be engaging in any of these prohibited uses.

Eligibility

By visiting StudentMatchNetwork.com and accepting these Terms and Conditions, You represent and warrant to Student Match Network that You have reached the age of majority in your jurisdiction and that You have the right, authority and capacity to agree to and abide by these terms.

User Information (Privacy Policy)

When You contact Student Match Network, You may be asked to provide Student Match Network with certain information including, without limitation, a valid e-mail address. Please review the Student Match Network Privacy Policy, incorporated herein by reference, to understand how Student Match Network uses your information.

You understand and acknowledge that You have no ownership rights in your Student Match Network account.  In the event You cancel your Student Match Network account all of your information from Student Match Network will be marked as deleted in Student Match Network's databases and will be removed from any public area of Student Match Network's site. Information may be available for some period of time due to delays in propagating such deletion through Student Match Network's Web servers. Additionally, third parties may retain cached copies of your information.

Student Match Network's Liability


While Student Match Network attempts to maintain the accuracy of the Web site, the Material may contain inaccuracies or typographical errors. Student Match Network makes no representations about the accuracy, reliability, completeness or timeliness of the Web site or the Material. The use of the Web site and the Material is at your own risk. Changes are periodically made to the Web site and may be made at any time.

Student Match Network does not render legal or financial advice. Student Match Network specifically disclaims any liability, loss or risk incurred directly or indirectly by the use of the Web site and services. Student Match Network is not involved with any decision-making or offers made from companies other than its own. Student Match Network does not guarantee that your use of the Web site will result in enrollment within a university.

If your use of the Web site or Materials results in the need for servicing or replacing equipment or data, Student Match Network is not responsible for those costs.

Disclaimer of Consequential Damages

Termination


Student Match Network reserves the right, at its sole discretion, to pursue all of its legal remedies (such as terminating use and/or license to use any of the programs) upon any breach by a User of these Terms and Conditions or if Student Match Network is unable to verify or authenticate any information a User submits to the Web site.

Indemnity


You agree to defend, indemnify and hold harmless Student Match Network, its officers, directors, employees and agents, from and against any claims, actions or demands, including, without limitation, reasonable legal and accounting fees resulting from your use of the Materials or Your breach of these Terms and Conditions. Student Match Network shall provide notice to You promptly of any such claim, suit or proceeding and shall assist You, at your expense, in defending any such claim, suit or proceeding.

Reserved Right of Refusal


Student Match Network, in its sole discretion, reserves the right to refuse fulfillment of any request, refuse You any involvement with Student Match Network and to delete your assigned User name and password if You breach any of the Terms and Conditions stated herein.

Modifications to Terms of Use


Except as otherwise provided in these Terms of Use, You agree that Student Match Network may revise the Terms and Conditions contained herein and may change part of the services, including payments, at any time. Any such revision or change will be binding and effective immediately after posting of the revised Terms and Conditions or change to the service(s) on Student Match Network's Web site. You agree to periodically review the Student Match Network Web site, including the current and future versions of these Terms and Conditions to be aware of any such revisions. By continuing to use Student Match Network's services after any revision to these Terms and Conditions or change in services, You agree to abide by and be bound by any such revisions or changes.
